1. Acceptance of Terms

By accessing and using Vortext's lead generation and marketing services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Vortext provides lead generation, online advertising optimization, and social network integration services. Our platform uses artificial intelligence and machine learning to identify, qualify, and deliver high-quality leads to our clients.

Services include but are not limited to:

Lead generation and qualification
Advertising campaign management and optimization
Social media integration and management
Analytics and reporting services
CRM integration and data synchronization

3. Payment Terms

Payment for services is based on qualified leads delivered, as outlined in your service agreement. Pricing ranges from $30 to $100 per qualified lead, depending on the service tier and volume commitments.

Payment terms:

Invoices are issued monthly based on leads delivered
Payment is due within 30 days of invoice date
Late payments may incur additional fees
Disputed charges must be reported within 30 days

4. Lead Quality Standards

Vortext guarantees that all delivered leads meet our quality standards, including:

Verified contact information (email and phone)
Demonstrated interest in your products or services
Compliance with your target customer criteria
Opt-in consent for marketing communications

If a lead does not meet these standards, we will provide a replacement lead at no additional cost.

5. Data Privacy and Security

Vortext is committed to protecting the privacy and security of all data processed through our platform. We comply with applicable data protection laws including GDPR, CCPA, and other relevant regulations.

Data handling practices:

All data is encrypted in transit and at rest
Access to data is restricted to authorized personnel only
Data retention policies comply with legal requirements
Regular security audits and assessments are conducted

6. Acceptable Use Policy

Clients agree to use Vortext services only for lawful purposes and in accordance with these terms. Prohibited uses include:

Spamming or sending unsolicited communications
Violating any applicable laws or regulations
Attempting to reverse engineer or compromise our systems
Using leads for purposes other than legitimate business development

7. Service Level Agreement

Vortext commits to maintaining high service standards:

99.9% platform uptime (excluding scheduled maintenance)
Lead delivery within 24 hours of qualification
Response to support inquiries within 24 hours
Monthly performance reporting and analytics

8. Limitation of Liability

Vortext's liability is limited to the amount paid for services in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages, including but not limited to lost profits or business opportunities.

9. Termination

Either party may terminate this agreement with 30 days written notice. Upon termination:

All outstanding invoices become immediately due
Access to the platform will be discontinued
Data will be securely deleted according to our retention policy
Confidentiality obligations continue indefinitely

10. Modifications to Terms

Vortext reserves the right to modify these terms at any time. Clients will be notified of material changes via email at least 30 days in advance. Continued use of services after changes take effect constitutes acceptance of the new terms.

11. Governing Law

These terms are governed by the laws of the State of Texas, United States. Any disputes will be resolved through binding arbitration in Eagle Pass, Texas.
